on Convening an Extraordinary General Meeting of Shareholders
of JSC “Uzbekexpertiza”

Based on the resolution of the meeting of the Supervisory Board of  JSC “Uzbekexpertiza” (hereinafter – the “Company”), an Extraordinary General Meeting of Shareholders of the Company will be held on October 2, 2025, at 15:00.

Agenda:

1.      Approval of the regulations for conducting the Extraordinary General Meeting of Shareholders of the Company and of the composition of the Counting Commission.

2.      Approval of the new edition of the organizational structure of the Company.

3.      Approval of the new edition of the Charter of the Company in connection with the reduction of the authorized fund (authorized capital).

4.      Approval of the text of amendments to the resolution on the issuance of shares of the Company in connection with the reduction of the authorized fund (authorized capital).

5.      Approval of the Company’s business plan for 2025.

6.      Election of an independent member to the Supervisory Board of the Company.

7.      Approval of a major transaction related to the transfer of additional funds in the amount of UZS 10.0 billion to the account of the Chamber of Commerce and Industry of Uzbekistan for the construction of modern buildings and facilities of the “Exhibition Center” in the territory of “Yangi Namangan settlement.”

8.      Approval of a major transaction related to the conclusion of a surety (guarantee) agreement as collateral for a financial loan in the amount of UZS 25.0 billion, obtained by the Chamber of Commerce and Industry of Uzbekistan from the National Bank for Foreign Economic Activity of the Republic of Uzbekistan for a period of 9 months at 14% per annum.

Dates of formation of the register of shareholders:

• for notification of shareholders about the convening of the Extraordinary General Meeting – as of September 10, 2025;
• for the participation of shareholders in the General Meeting – as of September 26, 2025.

Shareholders must present an identity document – passport. Representatives of shareholders must present a power of attorney executed in accordance with the legislation of the Republic of Uzbekistan (for legal entities – a power of attorney issued by such legal entity).

The meeting will be held in the conference hall of the administrative building of the Company at the following address: 51 Parkent Street, Mirzo Ulugbek District, Tashkent. Registration of participants will begin at 14:30.

In accordance with the Law of the Republic of Uzbekistan “On Joint-Stock Companies and Protection of Shareholders’ Rights,” in case the General Meeting of Shareholders adopts resolutions on the conclusion of major transactions related to the acquisition or transfer of property, shareholders who voted against or did not participate in voting for valid reasons are entitled to demand that the Company repurchase all or part of the shares belonging to them.

The repurchase of shares by the Company shall be carried out at market value.

According to the report of the independent valuation organization LLC “Business Standart” No. B-26-25 dated April 1, 2025, the market value of 100% of the shares of JSC “Uzbekexpertiza” amounts to UZS 126,104,171,620 (one hundred twenty-six billion one hundred four million one hundred seventy-one thousand six hundred twenty), while the market value of one ordinary share amounts to UZS 78,986 (seventy-eight thousand nine hundred eighty-six).

Written demands of shareholders for the repurchase of their shares by the Company must be submitted within 30 days from the date of adoption of the relevant resolution by the General Meeting of Shareholders. After the expiration of this period, the Company is obliged to repurchase the shares from the shareholders who submitted such demands within 10 days.
