on the Implementation of the Resolution of the Extraordinary General Meeting of Shareholders
of JSC “Uzbekexpertiza”

On May 23, 2025, an extraordinary general meeting of shareholders of JSC “Uzbekexpertiza” was held, during which the conclusion of a major transaction on behalf of the Company was approved.

In accordance with the Law of the Republic of Uzbekistan “On Joint Stock Companies and the Protection of Shareholders’ Rights,” shareholders are entitled to request the Company to repurchase all or part of their shares if they voted against the resolution on the major transaction or did not participate in the vote for valid reasons.

         The repurchase of shares by the Company shall be carried out at their market value.

         According to the report of the independent valuation company LLC “Business Standart” (Report No. B-26-25), as of April 1, 2025, the market value of 100% of the shares in JSC “Uzbekexpertiza” amounts to 126,104,171,620 (one hundred twenty-six billion one hundred four million one hundred seventy-one thousand six hundred twenty) UZS, with the market value of one ordinary share being 78,986 (seventy-eight thousand nine hundred eighty-six) UZS.

Written requests from shareholders regarding the repurchase of their shares by the Company must be submitted within 30 days from the date of adoption of the relevant resolution by the general meeting of shareholders. Upon expiration of this period, the Company is obliged to repurchase the shares from shareholders who submitted such requests within 10 days.
